About the Role: As a Legal Manager, you will play a pivotal role in the legal affairs of the company, particularly in the context of solar projects. Key responsibilities include:
- Commercial Contracts:
- Drafting, negotiating, and reviewing a variety of commercial contracts, including NDAs, purchase orders, supply contracts, service contracts, EPC and O&M Contracts, MOUs, LOIs, and any other agreements.
- Corporate M&A and Fund-Raise:
- Providing legal advice on corporate M&A or fund-raise transactions, including acquisitions, joint ventures, and other transactions involving third parties with FDI.
- Debt/Financing Documents:
- Reviewing and drafting debt/financing documents, such as loan agreements, security trustee deeds, deed of hypothecation, indenture of mortgage, corporate guarantees, sponsor support and promoter undertakings, ISDA. Assessing potential legal implications.
- Intellectual Property Management:
- Managing the intellectual property portfolio of the Company.
Qualifications and Requirements:
- LLB qualification.
- Minimum of 6 years of relevant experience.
- Experience in handling legal aspects of solar projects is essential.
- Proficient in drafting and reviewing a variety of commercial contracts.
- Sound knowledge of corporate M&A and fund-raise transactions.
- Familiarity with debt/financing documents and their legal implications.
- Strong intellectual property management skills.
